Course content
1. Introduction. Historical overview. The legal nature of personal companies and their regulation. 2. Establishment and personal companies. 3. The social contract and its importance. Amendments to the legal nature of the social contract. 4. Establishment and termination of membership in the personal companies. Settlement amount. 5. The position of partner personal companies, the various categories of members, their rights and obligations. Liability for obligations. 6. Authorities personal company, the process will work and decision making personal company. 7. Cancellation and termination of personal company with the liquidation. 8. Cancellation and termination of the personal company without liquidation (conversion).

learning outcomes
Knowledge
Student will understand the regulatory issues personal companies in the broader context of legal persons of private law and acquire basic and secondary aspects of this issue including the issues of creation and destruction, corporate bodies, shareholders and their legal status and transformations of these companies. Student describes major issues and legislation Institutes personal companies, assess their importance in the current socio-economic and legal system, assess the current role of these relationships, identify and define the strengths and weaknesses of current legislation, apply knowledge to model situations in these relationships, will be able to discuss and find solutions in accordance with legal principles, explain and evaluate the solutions in accordance with the laws of the Czech Republic and the EU and draw general conclusions.
